Summary
- Sharon Zhu is a Senior Partner at Shanghai Hansheng Law Offices. Prior to joining Hansheng, she practiced at Zhong Lun Law Firm and then held case manager position at the Shanghai Arbitration Commission. Sharon specializes in foreign direct investment, cross-border mergers and acquisitions, corporate governance and compliance, and dispute resolution (litigation and arbitration). Her industry expertise spans marine environmental protection, food and beverage, real estate development, software and telecommunications, and electromechanical manufacturing.
With an international perspective and over a decade of diversified legal practice, Sharon has handled hundreds of arbitration and litigation cases in areas such as foreign investment, equity investment, real estate, insurance, and finance. She has also led and participated in numerous large-scale cross-border acquisition projects, and currently advises many multinational and domestic enterprises on their ongoing legal and compliance matters.

- •Serving as China legal counsel to a European-listed group, a leading Nordic manufacturer of oil spill response equipment and one of the world’s foremost environmental solutions providers, advising on compliance operations of its wholly-owned subsidiary in Mainland China. She also provides specialized legal services on the group’s reinvestments and collaborative projects with local industrial parks and port authorities for the development of green ports.
•Advising the China subsidiary of a large Southeast Asian diversified conglomerate (with businesses covering branded food production, real estate development, aviation, banking, power and telecommunications) on commercial real estate and residential projects, group compliance management, and dispute resolution in Mainland China.
•Acting as China counsel to a leading Nordic meat products manufacturer, providing comprehensive compliance and investment cooperation advice for its entry into the Chinese market.
•Advising a European market-leading industrial manufacturing group on its cross-border M&A transaction, including deal structuring, labor issues, drafting and negotiation of share transaction documents, and related legal services.
•Representing a Southeast Asian real estate development company in a cross-border acquisition project, including deal structure design, onshore and offshore equity restructuring, and coordination with foreign counsel across multiple jurisdictions.
•Providing end-to-end legal services for a PRC client’s investment in Southeast Asia, including drafting and reviewing project development agreement, financing, power purchase, concession, and EPC contracts; participating in negotiations; offering structuring advice; and supporting implementation throughout the project cycle.
•Representing clients in arbitration proceedings before the Shanghai International Arbitration Center (SHIAC) in disputes arising from equity investment contracts.
•Handling multiple domestic disputes in China involving construction projects, investment cooperation, data protection, and intellectual property rights on behalf of corporate clients.
